You're responsible for securing your SpiceDB credentials and using the app lawfully

Acceptance of Terms

Welcome to SpiceDBLens. By accessing our website at spicedblens.com, downloading, installing, or using the SpiceDBLens desktop application (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Description of Service

SpiceDBLens is a free desktop application that provides a graphical user interface for managing and interacting with SpiceDB instances. The Service includes:

A desktop application for Windows, macOS, and Linux
Our website providing downloads, documentation, and support resources
Optional update notification services
Community support through GitHub and other channels

License Grant

3.1 Proprietary Software License

Limited Use License

SpiceDBLens is proprietary software. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

Download, install, and use the software on your devices
Use the software for personal and commercial purposes
Connect to and manage your SpiceDB instances

Future Open Source Plans

We may consider open-sourcing SpiceDBLens in the future based on community interest and project maturity. Follow our announcements for updates on this possibility.

3.2 License Restrictions

Important Restrictions: The license granted above does NOT permit you to:

Modify, adapt, translate, or create derivative works of the Software
Reverse engineer, decompile, disassemble, or attempt to derive the source code (except where prohibited by law)
Remove, alter, or obscure any proprietary notices (copyright, trademark, etc.) from the Software
Distribute, sublicense, rent, lease, or lend the Software to third parties
Use the Software to develop competing products or services
Access the Software to build a similar or competitive product
Copy the Software except for backup or archival purposes

3.3 Proprietary Rights

The SpiceDBLens name, logo, and associated branding are our proprietary property. This license does not grant you any rights to use our name, logo, or branding except as necessary to identify the Software.

You may not use our branding in any way that:

Suggests official endorsement or affiliation without our written permission
Could confuse users about the source or origin of the Software
Disparages or damages our reputation or goodwill
Violates applicable laws or regulations

3.4 Third-Party Trademarks

SpiceDB is a trademark of AuthZed, Inc. SpiceDBLens is an independent, third-party tool and is not affiliated with, endorsed by, or sponsored by AuthZed, Inc.

All trademarks, service marks, and company names mentioned in connection with this Software are the property of their respective owners. The use of any third-party trademarks does not imply endorsement, affiliation, or sponsorship of or by such third parties.

Acceptable Use

4.1 Permitted Use

You may use SpiceDBLens to:

Connect to and manage your SpiceDB instances
Create, test, and validate permission schemas
Execute queries and test relationships
Learn about SpiceDB and authorization systems
Integrate with your development workflow

4.2 Prohibited Use

You agree NOT to use SpiceDBLens to:

Violate any applicable laws, regulations, or third-party rights
Access SpiceDB instances without proper authorization
Transmit malware, viruses, or other harmful code
Attempt to reverse engineer, decompile, or disassemble the application (except as permitted by law)
Remove or alter any copyright, trademark, or other proprietary notices
Use the Service to spam, phish, or engage in fraudulent activities
Interfere with or disrupt the integrity or performance of the Service
Access the Service through automated means without our express permission (except for the application itself)

User Accounts and Security

5.1 No Account Required

SpiceDBLens does not require you to create an account to download or use the software. If you optionally provide your email address for updates, you are responsible for maintaining the confidentiality of that information.

5.2 Your SpiceDB Credentials

When using SpiceDBLens to connect to SpiceDB instances, you are responsible for:

Maintaining the security of your SpiceDB credentials
All activities that occur using your credentials
Ensuring you have proper authorization to access those instances
Complying with your organization's security policies

Important: SpiceDBLens stores connection credentials locally on your device. We do not have access to your credentials or the data in your SpiceDB instances.

Updates and Modifications

6.1 Software Updates

We may periodically release updates to SpiceDBLens that include:

New features and improvements
Bug fixes and performance enhancements
Security patches
Compatibility updates

By default, SpiceDBLens will check for updates and notify you when new versions are available. You may disable this feature in the application settings. We strongly recommend keeping SpiceDBLens up to date for security reasons.

6.2 Automatic Updates

SpiceDBLens does not automatically install updates without your permission. You will always be prompted before an update is downloaded or installed.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Specifically, we do not warrant that:

The Service will be error-free, uninterrupted, or completely secure
Any defects or errors will be corrected
The Service is free from viruses or other harmful components
The results of using the Service will meet your requirements or expectations
The Service will be compatible with all systems or configurations
Any data displayed or processed by the Service will be accurate or reliable

You acknowledge that you use the Service at your own risk and that you are solely responsible for any damage to your computer system or loss of data that results from your use of the Service.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPICEDB LENS, ITS CONTRIBUTORS, OR ITS AFFILIATES BE LIABLE FOR ANY:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or use
Loss of business opportunities or goodwill
Costs of procurement of substitute services

Whether in an action in contract, tort, or otherwise, arising out of or in connection with:

Your use or inability to use the Service
Any unauthorized access to or use of our servers and/or any personal information stored therein
Any interruption or cessation of transmission to or from the Service
Any bugs, viruses, or other harmful code that may be transmitted through the Service
Any errors or omissions in any content
Any loss or damage to your SpiceDB instances or data

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

IN JURISDICTIONS WHERE LIABILITY CANNOT BE EXCLUDED, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED ONE HUNDRED US DOLLARS ($100.00).

Indemnification

You agree to indemnify, defend, and hold harmless SpiceDBLens, its contributors, and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

Your use or misuse of the Service
Your violation of these Terms
Your violation of any rights of another party
Your unauthorized access to SpiceDB instances

Third-Party Services and Links

11.1 SpiceDB Integration

SpiceDBLens is designed to work with SpiceDB, which is developed and maintained by AuthZed, Inc. Your use of SpiceDB is governed by SpiceDB's own terms of service and privacy policy. We are not responsible for SpiceDB's functionality, availability, or data handling.

11.2 Third-Party Links

Our website and documentation may contain links to third-party websites or services. We are not responsible for:

The content or privacy practices of third-party sites
The accuracy or reliability of information on third-party sites
Any damages resulting from your use of third-party services

11.3 GitHub and Other Platforms

We use GitHub for source code hosting and issue tracking. Your interactions on these platforms are governed by their respective terms of service.

Intellectual Property Rights

12.1 Our Intellectual Property

All intellectual property rights in the Service, including but not limited to:

The SpiceDBLens software and source code
The SpiceDBLens name, logo, and trademarks
Website content, design, and graphics
Documentation and educational materials
All related technologies and derivative works

are owned by or licensed to us. These materials are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. No license or right is granted to you other than as expressly stated in Section 3.

12.2 Your Content

You retain all rights to any schemas, queries, or other content you create using SpiceDBLens. We do not claim any ownership over your data.

12.3 Feedback and Contributions

If you provide feedback, suggestions, or contribute code to SpiceDBLens through GitHub or other means, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback or contribution into the Service.

Donations and Payments

SpiceDBLens is free to use, but we offer optional ways to support the project through donations via Stripe.

Please note:

All donations are voluntary and do not grant any additional rights or features
Donations are non-refundable
We do not provide any guarantees or promises in exchange for donations
Payment processing is handled by Stripe and governed by their terms
Donations do not create any contractual relationship or obligation

Export Control

The Service may be subject to export control laws and regulations. You agree to comply with all applicable export and re-export control laws and regulations. You represent that you are not:

Located in a country subject to US government embargo
Listed on any US government list of prohibited or restricted parties

Dispute Resolution

15.1 Informal Resolution

If you have any dispute with us, you agree to first contact us at legal@spicedblens.com and attempt to resolve the dispute informally for at least 30 days before initiating any formal proceedings.

15.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

15.3 Jurisdiction and Venue

Any legal action or proceeding arising out of or related to these Terms shall be instituted exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of such courts.

15.4 Class Action Waiver

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. This includes:

Adding or removing features
Changing the website structure or design
Discontinuing support for certain platforms or operating systems
Ending the project entirely

We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Termination

17.1 Your Right to Terminate

You may stop using the Service at any time by uninstalling the application and ceasing to access our website.

17.2 Our Right to Terminate

We reserve the right to:

Restrict or terminate your access to our website if you violate these Terms
Remove content or links that violate these Terms
Take legal action if necessary

17.3 Effect of Termination

Upon termination:

Your right to use the Service ends immediately
You must cease all use of the software
Provisions that by their nature should survive termination shall survive, including disclaimers, limitations of liability, and dispute resolution

Changes to These Terms

We may update these Terms of Service from time to time. When we make changes:

We will update the "Last updated" date at the top of this page
For material changes, we will provide prominent notice on our website or via email if you provided one
Your continued use of the Service after changes constitutes acceptance of the new Terms

If you do not agree to the updated Terms, you must stop using the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SpiceDBLens regarding the Service and supersede all prior agreements and understandings, whether written or oral.

No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, terrorism, riots, or server failures.
